THE PLATFORM

Operating platform first. Fund later, only if it adds value.

Micronom is built as an operating platform rather than a first-time fund. A lean TopCo holds the combined operating, enterprise IT, go-to-market, capital and global network capabilities. Deal-specific SPVs, JVs, co-investment and credit vehicles sit underneath, matched to each opportunity. This moves faster and cheaper, ring-fences every deal, protects the long-term franchise and lets us plug into an ADGM fund, merchant-bank or regulated structure when it actually adds value — not from day one.

CORE PLAYBOOK

  1. 01ORIGINATEProprietary deal flow from operator, enterprise and founder networks across the U.S. and global markets.
  2. 02UNDERWRITECommercial, technology and operating diligence with an operator’s lens on the growth engine.
  3. 03STRUCTUREThe right vehicle for the deal: SPV, JV, co-invest, credit or partner capital — ring-fenced.
  4. 04OPERATEHands-on GTM, enterprise sales, AI and transformation execution alongside management.
  5. 05GLOBALIZEU.S. market entry, global expansion, strategic partnerships and enterprise relationships.
  6. 06MONETIZERepeatable value creation, liquidity paths and a track record that compounds into the platform.

TOPCO · THE OPERATING PLATFORM

Where the franchise value sits

  • Combined operating, enterprise IT, GTM, capital and global network capabilities
  • Lean, staged capital — only what is needed to become self-financing
  • Dilution protected: the platform is the long-term asset
  • Repeatable portfolio and track record built deal by deal

DEAL VEHICLES · UNDERNEATH THE PLATFORM

Ring-fenced, opportunity by opportunity

SPVsJVsCo-investCreditADGM / Merchant-bank

Off-balance-sheet deal capacity through family offices, strategic investors, credit and ADGM or merchant-bank partners who can say: “bring us the right deal and we can write $5M–$25M+.” Far more firepower without carrying capital permanently or giving away the platform.

LATER · PERMANENT CAPITAL

Fund only when it adds value

Once the portfolio is repeatable and the track record is proven, a fund or permanent-capital vehicle can follow. Maximum optionality, minimum overhead, no infrastructure carried before it earns its place.
